THE DEALERSHIP
CO-WORKING AGREEMENT
This Agreement is made between you (hereinafter referred to as “Co-Working Member”) and Copus, LLC (hereinafter referred to as “Copus ”), as the agent for the Shaker Heights Development Corporation, Inc. an Ohio Community Improvement Corporation (hereinafter referred to as “SHDC”). WHEREAS, SHDC operates “The Dealership, a small business and entrepreneurial hub at 3558 Lee Road, for the purpose of facilitating the development and growth of small business; and
WHEREAS, SHDC has contracted with Copus, LLC (hereinafter referred to as “Copus ”), to provide professional management services relating to the development, programming and management of a Co-Working Program at The Dealership; and WHEREAS, Copus is the Co-Work Operator on behalf of SHDC, serving as the primary point of contact for Co-Working Member for all matters relating to this Agreement; and
WHEREAS, Co-Working Member desires to utilize SHDC’s Co-Working Member program under the terms of this Agreement.
NOW, THEREFORE, in consideration of the terms and conditions herein, the parties hereto agree as follows:
TERM. This Agreement shall be for the level of service chosen below. Beginning with the effective date set forth within, unless sooner terminated as set forth in Section 6 below. The parties may agree to additional time in the program if desired.
CO-WORKING MEMBER PROGRAM.
Co-Working Membership is for a single individual.
Co-Working Membership is non-transferable, and may not be shared at any time.
Co-Working Members will be issued one (1) key fob to be used to enter the building during normal hours of operation. No additional key fobs will be issued to a Co-Working member for any reason other than to replace a lost or stolen key fob. Lost or stolen key fobs must be reported immediately at which time they will be permanently deactivated. Key fobs may not be transferred or shared under any circumstances.
CO-WORKING MEMBER PROGRAM CHARGES.
Standard Yearly Fee. Co-Working Member shall pay the amount one thousand two hundred fifty dollars ($1,250.00) under the applicable Stage of program service identified. The yearly fee shall be paid in its entirety, in advance of use of The Dealership and its services. In the event Co-Working Member chooses to reserve additional conference room time, outside of the monthly allowance, applicable charges will be applied to a monthly bill immediately following the month of additional usage.
Late Fees. A late fee equal to 5% of the total amount owing by Co-Working Member shall be charged on any outstanding amount owed which has not been paid within five (5) days of its due date. Balances not paid within five (5) days will also result in temporary deactivation of Co-Working Member’s key fob. The key fob will be reactivated once payment has been received.
Initial Payment. Upon execution of this Agreement, Co-Working Member shall pay the first month’s charges. If applicable, annual fees shall be paid upon execution of this Agreement.
Place of Payment. Any payment due from Co-Working Member to Copus under this Agreement shall be paid to the Co-Work Operator on site: Copus, LLC. 3558 Lee Road, Shaker Heights, Ohio 44120.
POLICIES AND PROCEDURES. Co-Working Member shall be required to abide by SHDC’s and Copus ’s policies and procedures, as promulgated from time to time, relating to the use of its building and facilities. Failure to do so may result in termination of this Agreement as provided in Section 6 A below.
PRIORITY OF USE. SHDC and Copus will make every effort to accommodate Co-Working Member’s scheduling needs in the use of its facilities. However, in the event of a conflict arising between Co-Working Member and a tenant of SHDC in the use of its facilities, priority of use will be given to SHDC’s tenant. Co-Working will not be entitled to any recourse or damages of any kind whatsoever against SHDC, Copus, or SHDC’s tenants in the event Co-Working Member is unable to use SHDC’s facilities at the date and time desired.
TERMINATION. This Agreement may be terminated for cause or without cause in the manner set forth herein. Upon termination, Co-Working Member shall no longer be entitled to utilize any services of SHDC relating to the use of its facility.
For Cause. This Agreement may be terminated by SHDC or Copus immediately in the event there is a breach of this Agreement by Co-Working Member, a failure by Co-Working Member to follow SHDC’s policies and procedures relating to the use of its building and facilities, or any conduct by Co-Working Member that, in the sole discretion of SHDC or Copus, is deleterious or damaging to SHDC or any of its tenants or to other Co-Work Members.
Without Cause. Either party may terminate this Agreement at any time upon giving the other party notice of its intent to terminate no less than thirty (30) days in advance of the date of termination.
INDEMNIFICATION. Co-Working Member will indemnify and hold harmless and assume the defense of SHDC and Copus, its agents, employees and officials from any and all claims, liabilities, judgments, costs, damages and expenses of any nature whatsoever, including the cost of defending such claims, which may accrue against, be charged to, be recovered from or sought to be recovered from SHDC, its agents, employees and officials by reason of or on account of any personal injury, sickness, or death of any person or damage to property arising from Co-Working Member’s use of the premises. Co-Working Member shall also be responsible for any damage it, its employees, agents, representatives or invitees may cause to the premises or to any personal or other property belonging to SHDC or its tenants that may be on such premises.
RELEASE. Co-Working Member hereby releases SHDC, its agents including Copus, employees and officials from any liability or responsibility to Co-Working Member or any other person, claiming through it by way of subrogation or otherwise, for any loss or damage to the Co-Working property or the property of any of its agents, employees, representatives or invitees which is brought onto the premises, regardless of how such loss or damage may occur, even if such damage or loss may have been caused by flood or other casualty or by the negligence of SHDC, its agents, employees or officials. It is expressly agreed and understood that Co-Working Member, its agents, employees, representatives or invitees, in bringing property in and onto the premises do so at their own risk. It is further agreed and understood that SHDC, its agents, employees and officials will not be liable to Co-Working Members for any business losses or damages to the property of Co-Working Member, its employees, representatives, agents or invitees, occasioned by the acts or omissions of other businesses or persons which may occupy the premises.
INTELLECTUAL PROPERTY. Co-Working Member shall not use any trademark,service mark, logo or trade name of SHDC or Copus, nor shall Co-Working Member represent itself as having any business affiliation with SHDC or Copus, without the express permission of SHDC or Copus.
APPLICABLE LAW. The laws of the state of Ohio shall govern the validity, interpretation, performance and enforcement of this Agreement and any suit brought to enforce the terms of this Agreement shall be brought only in Cuyahoga County, Ohio.
TITLE AND HEADINGS. The titles and headings of this Agreement are used only for convenience and are not to be construed as part of the Agreement.
ENTIRE AGREEMENT. This Agreement and its attachments, including Exhibit 1 and the Guarantee, shall be considered to contain the entire agreement between the parties pertaining to the use of SHDC facilities, and all negotiations and all agreements acceptable to both parties are included. This Agreement may be modified only by an amendment in writing signed by both parties hereto.
ATTORNEYS FEES. In the event SHDC or Copus is required to file suit to enforce any provision of this Agreement, should it prevail, it shall be entitled to recover its reasonable costs and attorney’s fees incurred in prosecuting the action, in addition to all other damages to which it might be entitled.
ASSIGNMENT. Copus may assign its rights and obligations under this Co-Work Agreement to the SHDC, if the SHDC accepts such assignment. In the event that the Agreement between Copus and SHDC ends during the term of this Co-Work Agreement, this Agreement shall automatically be assigned to SHDC.
